7HUPVDQG&RQGLWLRQVRI6DOH The following terms and conditions govern the sale of an aircraft by ALPAERO / Noin Aéronautique, RN85, Chateauvieux, 05130 Tallard, France ("seller") to the customer ("buyer") whose name and adress are as shown on the order form.

is the designer and seller of a motorglider known as the Exel, designed as a FAI ultralight. The Exel shall be refered herein as the "motorglider", instruments and optional accessories as specified on the order form shall be refered herein as "equipment". The motorglider and equipment shall be refered collectively as the "Aircraft" #%$'& " desires to purchase the Aircraft from Seller and Seller is willing to sell the Aircraft to the Buyer subject to the terms and conditions of this contract.

insurance and crating fees. The purchase price for the motorglider is guaranteed to remain in effect until the delivery, the purchase price for equipment is guaranteed to remain in effect for at least six (6) months from the date of Seller's receipt of the order form and purchase deposit. However, Buyer understands that Seller can adjust the purchase price of the Aircraft if technical changes are requested by aviation authorities.

FD9G " 2 " - ./ : Seller will accept Buyer's order for an Aircraft upon receipt of a signed order form and the deposit (as defined below). HD'E$ " * 1 ( 8?2+ 4 8 - , : simultaneously upon placing an order, Buyer shall deliver to Seller a purchase deposit. The purchase deposit shall be (a) applied to the

purchase price if the transaction is consummated; or (b) returned to Buyer if Buyer cancels the order pursuant to section 5 hereof; or (c) paid over and retained by Seller as liquidated damages in Seller's sole remedy in the event that Buyer defaults hereunder. Seller reserves the right to decline any order and to fully refund any purchase deposit taken for an order, if received, for any reason at any time. After a purchase deposit has been returned, the Seller and Buyer shall be relieved of any and all further obligations.

: Buyer has the right to cancel the order and obtain a refund of the purchase deposit only if Seller receives written notice of such intent to cancel within ten (10) days of Seller's receipt of the deposit. Buyer has the right to cancel the order and obtain a refund of all deposits if for any reason the actual delivery date is delayed more than six (6) months by Seller. Apart from Buyer's limited right to a refund as provided herein, no refund of the purchase deposit will be made by Seller and a thirty percent (30%) cancellation fee may be assessed by Seller on all other payments.

: Seller warrants the motorglider (engine excepted) against defects in material and workmanship for a period of one (1) year from the delivery date. Seller warrants the engine and equipment against defects in material and workmanship for a period of four (4) months from the delivery date. The warranty will not apply to the Aircraft if it has been damaged by misuse, accident, improper operation, or if unauthorized repairs or modifications are attempted or made. Seller agrees that the Aircraft must satisfy all the requirements specified in the flight and maintenance Manual.

: Buyer accepts the sole responsibility and assumes the sole risk for inspection, maintenance, repair and operation of the Aircraft in full compliance with applicable aviation regulations. Buyer understands and agrees that there are many factors outside of control of Seller that can significantly affect the safe operation of the Aircraft. Such factors include but are not limited to the maintenance procedures, operational history and repairs. Buyer agrees not to make any modification of the Aircraft without Seller's authorization, and agrees not to use any parts, components, or accessories that are not authorized and approved by Seller. Buyer assumes full responsibility for any consequences, damage or losses that may result from his modifications or from the use of any parts, components, or accessories that are not authorized and approved by Seller.

: Seller may from time to time notify Buyer of technological improvements developed by Seller. In some instances, Seller may deem such improvements to be very important to the continued safe operation of the Aircraft, and may designate such as mandatory improvements. Buyer agrees to promptly purchase and install all mandatory improvements designated by Seller. And hereby agrees to hold Seller harmless for any and all claims arising out of events which may have been avoided or the effects of which may have been reduced by the prompt implementation of mandatory improvements.

: to ensure receipt of notices from Seller, Buyer agrees to notify Seller in writing, within thirty (30) days, after Buyer changes his address from the address written on the order form, or after any change in ownership of the Aircraft. If ownership changes, Buyer's notice to Seller shall contain the name and address of the new owner.

: all shipping and crating fees shall be paid by the Buyer. The responsability for the Aircraft in transit shall be the Carrier's and the Buyer's. Claims of damage in transit shall be made to the Carrier. It is Buyer's responsibility to inspect the Aircraft immediately upon arrival to confirm that the Aircraft has been delivered in its entirety and there is no shipping damage. Insurance of the Aircraft in transit is the responsibility of the Buyer.

: Seller shall in no event be held liable for personal injuries or for other damages caused by any use or deployment of a ballistic parachute installed in the Aircraft, or by lack of use, or by misuse, and shall have no other liability in connection with this device.

: Buyer understand and agrees that the delivery date shown on the order is only an estimate and the actual delivery date may be advanced or delayed. Delivery date advances will be made only with Buyer's prior approval. Upon delivery the aircraft shall be ready for test flights.

: Buyer represents to Seller that Buyer has read and thoroughly understands the regulations applicable to his use of the Aircraft. Buyer understands that Seller does not represent that the Aircraft will qualify for certification in any particular country. However, Seller shall provide all available technical information to Buyer for certification purposes. Buyer has read, investigated, and thoroughly understand the aviation regulations applicable to his use of the Aircraft.

Buyer acknowledges that information proprietary to Seller, including design features and written documentation, is supplied for the sole use of Buyer. Buyer agrees to prevent any of Seller's proprietary information from being diverted from its intended use without Seller's authorization. Buyer specifically agrees : (a) not to copy or permit others to copy any manual or other documentation supplied to Buyer; (b) not to duplicate or permit others to duplicate any parts or assemblies supplied to Buyer; (c) not to trace, photograph or record dimensional information, or to permit others to trace, photograph or record dimensional information from parts or assemblies supplied to Buyer.
