ASSIGNMENT OF COPYRIGHT REGISTRATWNS

WHEREAS, COMMODORE AMIGA, INC. (hereinafter "ASSIGNOR"), a corporation of the State of Delaware, having an address of 983 University Avenue, Los Gatos, California 95030, has the entire right, title and interest in and to certain U.S. Copyright Registrations, said registration numbers and titles being set forth in "Exhibit A" attached hereto; and WHEREAS, Escom AG, (hereinafter "ASSIGNEE"), a German corporation, having an address of Burgstrasse 27-31. 0-44867 Bochum. Germany. is desirous of acquiring all right, title and interest in and to said U.S. Copyright Registrations. NOW, THEREFORE, for and in consideration of the sum of One Dollar ($l~OO) and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, ASSIGNOR does hereby sell, assign and transfer to ASSIGNEE. its successors and assigns, for the territory of the United States of America and throughout the world, the entire right, title and interest in and to the said U.S. Copyright Registrations, the same to be held and enjoyed by the said ASSIGNEE for its own use and behalf and for its successors and assigns, as fully and entirely as the same would have been held by ASSIGNOR had this assignment and sale not been made.
