GENERAL CONDITIONS OF SALE These conditions of sale apply to all orders right product made by a company, a committee of business, administration, community, association, Individual ("Customer") with Astrid Sarkissian EI. Ordering All orders must be confirmed in writing sent by mail or fax the following forms: · Be an order to the header of the client, with the signature of the buyer and the company stamp, and taking without changing the characteristics of the offer including the reference section ordered, the desired amount, the agreed price, the shipping and transport and possibly the quote reference transmitted by Astrid Sarkissian. · Either the Order or quote Astrid Sarkissian transmitted without modification bearing the signature of the buyer and the company stamp. Any order placed by the Customer and accepted by Astrid Sarkissian, is considered definitive. The Customer declares to accept fully and without reservation, these Terms and waives his own. From the moment the buyer has confirmed his order, he is deemed to have accepted, knowingly and without reserve, products, prices and quantities offered for sale and ordered. Order Cancellation Any order cancellation must first be submitted to the approval of Astrid Sarkissian, and must be made by letter. All costs incurred by Astrid Sarkissian, the date of receipt of the request for cancellation will be charged, net of payments already made; these also can not be refunded. Whatever the confirmed delivery date, the cancellation of an order already entered into the production process is not possible. Prices / Rates Unless otherwise stated, the sale price of the products are indicated in Euros, excluding taxes. The shipping charges are listed on the order form. Product prices offered on orders Astrid Sarkissian, and these Conditions of Sale are subject to change without notice in case of changes the legal, economic or industrial on the day of delivery, particularly in cases of change of legislation, currency fluctuations, fluctuations in the price of raw materials, cost of labor or transportation rates. Astrid Sarkissian reserves the right to suspend any order or delivery, whatever the nature and level of execution in case of non-payment at maturity of any amounts owing by the Buyer or in case of exceeding the outstanding which was granted. Any amount not paid when due will be increased by 1.5% per month. The amount of the outstanding balance becomes immediately due and right, up 8 days after sending a notice unsuccessful, without the need to implement prosecution. Failure to pay on time, supply will be suspended. Without regularization of payment 8 days maximum after the suspension of supplies, the file will be transmitted litigation. Any recovery through litigation ipso jure, at the expense of the buyer, a meal allowance, under criminal law, 15% of the amount of unpaid bills at maturity, with a minimum of € 50.00, without prejudice to claims which be formed under article 700 of the NCPC Retention of ownership Astrid Sarkissian expressly reserves ownership of the goods until full payment and their prices and interest due. Despite this reservation of title, the buyer upon delivery, the burden of risk of loss or destruction and all damages that may be caused to the goods or caused by them. It also becomes liable for total or partial loss, theft or damage for any reason whatsoever. In case of seizure by third parties on the goods and accessories, the buyer must notify the seller immediately. Terms of Delivery Delivery times are for illustrative purposes only and without commitment on our part. The delivery times indicated on our estimates imply that the customer has provided prior to ordering, all the elements necessary for marking objects. These elements must be usable without modification. Otherwise, engineering Places reserves the right to change the delivery date accordingly. Delays in delivery can not justify the cancellation of the order, the refusal of the goods, or the payment of damages. The goods are delivered to the address indicated in the order, according to mode of delivery chosen by the Customer or, failing that, by engineering Places. The choice of carrier is initiated by Astrid Sarkissian. In case of damage, loss or delay in delivery of goods, it is the recipient of recourse against the carrier and make use reserves to maintain this action. The sales contract will be questioned if total or partial disability of Astrid Sarkissian to ensure delivery in accordance because of the occurrence of an event of force majeure, failure of stock to a delay in the delivery of raw materials or defective delivery of one of its suppliers. In this case, the buyer may require neither the delivery of the order on time, or compensation of any kind whatsoever with engineering Places. In case of Claim Upon receipt of the product, the customer must immediately check their condition and compliance with the original order. If the goods delivered are not in conformity, the buyer must, on pain of forfeiture, to make its claims by registered letter with acknowledgment of receipt sent to the headquarters of p Astrid Sarkissian within 5 business days after delivery, the delivery note authentic, stating the grounds for the claim. In case of non-conformity of the products delivered, the customer should contact Astrid Sarkissian to know the arrangements for the destruction or return of any merchandise found to be defective. No returns will be accepted if it has not been authorized by Astrid Sarkissian. In case of non-conformity of the products delivered, Astrid Sarkissian is committed to do everything possible to correct the non-compliance or, failing that, will be held as to establish credit. The Client shall not be entitled to any other compensation or indemnity. In case of return, the goods must be shipped in perfect condition for resale or, failing that, in the strict condition in which it was received by the Customer, and in its original packaging. Otherwise, all costs of repair products are the responsibility of the customer. These general conditions of sale established between Astrid Sarkissian and client are governed by French law. In case of dispute, the Tribunal de Commerce de Paris is competent.
