2 • GENERAL REGULATIONS 2003 I.- ORGANIZATION The Confédération Nationale des Détaillants, Détaillants-Fabricants et Artisans de la Confiserie-Chocolaterie-Biscuiterie (National Association of Retailers, Retailers-Manufacturers and Craftsmen of the Confectionery, Chocolate and Biscuit-making Trades) has entrusted the organisation of the INTERSUC International Exhibition to EURL "La Fayette Développement" - 103, rue La Fayette, 75481 Paris Cedex 10. In case of postponement or cancellation, the organizers may return money received ; in this case exhibitors will not be able to claim any consequential loss, whatever the reasons for taking such measures. Sums remaining after payment of all commitments will be repaid to exhibitors pro rata to the sums paid by them, without their being entitled to make any claims of liability for whatever reasons against the organizer. In signing their application for admission exhibitors undertake to the bound by the clauses in these Regulations and give the organizers the mandate, in their name and on their behalf to operate the International ConfectionaryChocolate-Biscuit-Pastry Exhibition, under the following conditions and Regulations. The International Confectionary-Chocolate-Biscuit-Pastry Exhibition is part of the «Fédération des Foires, Salons et Congrès de France» (French Association of Specialized Exhibitions). As such, exhibitors are subject to the general rules of member Exhibitions of the F.S.C.F. (the text of which has been approved by the Ministry of Trade - compiled on 7 April 1970, paragraph 8, article 1). II.- ADMISSION The exhibition is specifically for all firms selling products, goods, equipment and raw materials liable to be supplied to the Confectionary, Chocolate, Biscuit, and Pastry-making trades. Groups or cooperative business may also be admitted under the responsability of one representative. Applications for admission must be submitted on the forms provided for this purpose and accompanied by the first instalment equal to half of the stand rental cost. The organizers will send exhibitors notification of the space allocated, identifying the balance due, the compulsory minimum insurance premium covering equipment and goods on show, and taxes and the date on which the balance is due. Non-payment of the balance by the due date will result in forfeiture of the right to space, the first payment being retained by the organizer. Exhibitors are forbidden to transfer or sublet all or part of the space allocated to them, except with the written permission of the organizer. The organizer reserves the right to refuse applications for admission without being obliged to justify such decisions. III.- PRICES Stand space prices are determined by the organizers, calculated in accordance with the projected overall Exhibition cost. However, these are subject to revision if new circumstances appreciably increase costs. In that case, exhibitors will be individually notified of the amended arrangements and will have the right to withdraw their application within two weeks from the date of receiving notification of the revised prices. After notification of stand allocation has been issued, the organizers will retain the rental fee received should the exhibitor withdraw or default for whatever reason. However, a defaulting exhibitor may propose a replacement who meets the organizer general criteria for acceptance, a minimum of one month before the opening of the Exhibition. DETENTION OF GOODS When the exhibition closes, the organizers reserve the right to detain exhibited goods until settlement of any sums owed to them by the exhibitor. IV.- INSURANCE Each exhibitor is obliged, at his own expense and through the organizers, who disclaim any liability, to insure the total value of

goods and fittings on his stand. The insurance policy comes into force two days before the opening of the exhibition and ceases 24 hours after its closure. The organizers will collect the premiums on behalf of the Insurance Company at the same time as the balance for the rental of exhibition space. PUBLIC LIABILITY Within the exhibition area, all risks for damage or injury caused by an object or by negligence, whether through the fault of an exhibitor or one of his employees, to one or several persons, will be covered by the compulsory insurance policy. POLICY & ADDITIONAL INSURANCE Details of the insurance policy and the risks covered will be specified in the Exhibitor's Manual, which the exhibitor will receive after registration. He will also be able to take out additional insurance. V.- BUILDUP, FITTING-OUT and MAINTENANCE OF STANDS Exhibitors must set up their stands during specific days designated for this purpose. Every exhibitor must provide for the transportation, reception and setting up of his exhibition, goods and equipment. If exhibitors or their agents are not present to receive their goods, the organizers reserve the right to put them into storage, to have them unpacked or returned at the exhibitor's expense and risk. Exhibitors must abide by the instructions of the organizers for the entry and exit of exhibition goods and all items and accessories needed for setting up stands. No equipment or goods will be permitted to leave the area while Exhibition is in progress. All stand construction must be completed on the evening before Exhibition opening. Any stand not occupied on the evening before Exhibition opening will be reclaimed by the organizers. The party concerned will not be able to claim either reimbursement or compensation. Items on display may not under any circumstances be removed from the Exhibition before its closure. Individual stand decoration must be in keeping with the general tone and must not cause inconvenience to neighbouring stands. Stands must not exceed 2.5 metres in height. The organizers reserve the right to modify or remove stands which they judge to be damaging to the general image of the Exhibition or which may inconvenience neighbouring exhibitors or the public. The organizers accept no responsability for constructions or installations put up by exhibitors. Exhibitors must leave their area and any stand structures put at their disposal in the same condition in which they found them. Any damage caused during their occupation will be charged accordingly. Exhibitors may not remove any material or equipment, nor begin any break-down while the Exhibition is in progress. Given the risk of theft, stands must be guarded by an exhibitor's representative from 7.00 a.m. of the morning following the closure of the Exhibition. No materials or equipment will be permitted to leave the area until 8.30 a.m. During this 90 minute period exhibitors must inspect their stands and make written claims in the event that anything is missing. Breakdown of stands must be completed at the latest by the evening of the day following the closure of the Exhibition, after which the organizers reserve the right to dismantle the stand and remove any goods remaining, putting them all into storage at the exhibitor's expense, with all the risks for breakage, loss, theft and damage being the exhibitor's liability. VI.- SAFETY Exhibitors and their fitters must adhere to the prescribed Safety regulations. These are available from the Exhibition Organizer's Office. Stands which do not meet the Safety regulations may be refused permission to open.

representatives may enter the exhibition area 30 minutes before the Exhibition opens, and should leave within 30 minutes after closing. Exhibitors wishing to send invitations to their customers may request these from the organizers and so give additional publicity to the Exhibition. VIII.- PUBLICITY MATERIAL Publicity materials used by an exhibitor should not hinder neighbouring exhibitors, nor detract from the general tone of the Exhibition. Carry-away sales are expressly forbidden, as is the distribution of gifts or samples to visitors. Tastings on the stand are permitted. Also forbidden is the use of loud or noisy advertising, whether verbally or through any kind of loud hailer. The use of audiovisual equipment is permitted at the discretion of the Management. Also forbidden : - the distribution of carrier-bags bearing advertising; - hawking or soliciting outside of stands; - placing of publicity vehicules near the Exhibition; - distribution of samples in the vicinity of the Exhibition Centre. IX.- PHOTOGRAPHS No stand or sample may be photographed without the permission of the exhibitor and the Exhibition Management. Photographers will not be admitted without a pass issued by the Organizer's Office. Print of all photographs taken must be sent to the Organizer within 15 days following the end of the Exhibition. X.- PRESS INFORMATION Participants are invited to send a press pack marked "PRESS", containing information for the press. This should be sent to the Organizer's Office one month before the opening. XI.- CATALOGUES, CIRCULARS, BROCHURES The organizers reserve the sole right to publish a general catalogue and to sell it within the confines of the Exhibition. The distribution of circulars, brochures, catalogues or other printed materials may only be made from exhibitor's stands. All such items must be approved by the organizers, who may ban them if their nature warrants such action. XII.- EXHIBITOR PUBLICATIONS On the day before the Exhibition opens, each participant must submit to the Organizer's Office an example of all texts that it intends to distribute or affix to its under the heading "PUBLICATIONS". XIII.- ENFORCEMENT OF REGULATIONS The organizers reserve the right to introduce new arrangements or modify the present regulations in the general interest of the Exhibition, at any time they seem necessary. Participants in the INTERSUC Exhibition undertake to accept the present regulations and any new arrangements which circumstances may dictate, adopted by the organizers in the interest of the Exhibition. Any breach of the present regulations, or such regulations as may be introduced by the organizers in the interest of the Exhibition, will result in the expulsion of the offending exhibitor, without his being entitled to reimbursement of sums already paid out or any compensation whatsoever, and he may be required to reimburse the organizers for any damage which his offence may have caused. In the event of a dispute, the Paris courts will be sole competent authority. ■

VII.- VISITORS Exhibition entry is limited to trade buyers whose business is the sole or manufacture of confectionary, chocolate, biscuits and pastries, or their representatives. Exhibitors and their

6 • PAYMENT

We declare that we have read the General Regulations for the International Exhibition INTERSUC, and enclose, in accordance with those Regulations, our deposit for space rental, in the form of a cheque (attached), or by Giro transfer to the order of "Salon International INTERSUC", C.C.P. PARIS 163.74D. Down payments will be paid in instalments, as specified in box 5, and the balance on 9 Februar 2002. Nonpayment of the balance by the due date will result in the loss of right to a stand, the down-payment being retained by the organizer. 4 • METHODS OF STAND RENTAL 7 • STAND FORMATS AND PRICES The stands are made up of 4 m2 (2 x2) or 9 m2 (3 x 3) modules wich can be rented singly or combined, depending on the stand size required. Sites are calculed without taking into account partitioning, projections, columns, pillars and ducts. If there is a post on a stand, this will be reflected in a proportional reduction in price. These 4 m2 and 9 m2 modules are available in 5 standard pricing formats : • The «VILLAGE» modules for stands of 4 m2 and multiples of 4, i.e. 4, 8, 12, 16 or 24 m2. Designed for small firms, they are grouped in the Intersuc Village. These stands are semi-fitted. They do not include individual constructions. The exhibitor only has to decorate the stand - price : € 1.280 excl VAT; • The following modules are available for stands of 9 m2 and multiples of 9, i.e. 9, 18, 27, 36, 54, 72, 90 m2 and above: - The «ECO» module is stand space only. Please note : this does not include partitioning - price : € 1,791 excl VAT ; - The «BASIC» module is semi-fitted. It does not include individual constructions. The exhibitor only has to decorate the stand - price : € 2,880 excl VAT; - The «MEETING» module includes a fitted customized stand, and services. Our adviser will assist you during the runup to the exhibition - price : € 3,150 excl VAT - price per m2 over 36 m2 : € 332 excel. VAT; - The «COLLECTION» module (from 18 m2 only) includes a luxury customized stand, and additional services. Our adviser is at your service - price : € 3,663 excl VAT - price per m2 over 36 m2 : € 377 excel. VAT. The prices shown are those in force at the time of the Exhibition's creation. They are not guaranteed. In the event of any change, new prices will be applied to and payable through the second instalment due on 09 Februar 2003 (see General Regulations, Clause III). For more details, see box 9: "BASIC SERVICES" and the attached documentation.

8 • ALLOCATION OF STANDS, areas and open sides Stand allocation is made by the organizers taking into account the wishes of exhibitors wherever possible (see box 4). However, in the interest of achieving the best possible Exhibition layout, no guarantee as to stand location can be given. Moreover, should the number of open sides allocated by the Organizer not match the Exhibitor's original order. The exhibitor, if he does not agree, will have to let us know, in writting, within 8 working days after receipt of our notification of stand location and plan. Failing specifications to the contrary from the Exhibitor, it will be considered as a tacit agreement.

9 • BASIC SERVICES (included in stand price) • Stands fittings on the «VILLAGE» and «BASIC» modules includes : site, grey carpeting, 2.5 metre high partitioning covered in grey fabric, double sided banner sign, 3 kW power supply, electricity socket, 100W lighting per 3 m2, stand number and fascia board. SPECIAL DEAL : the «Stand & Services» formats listed below offer you a flexible, attractively priced package of

customized stand and services for an all-inclusive fee. • MEETING «S & S» stands include the BASIC services as well as cupboard, counter, shelves, flowers, a furniture credit of 15,24 ¤ excl. V AT/per m2, parking and daily cleaning. • COLLECTION «S & S» stands (from 18 m2 only) include all the MEETING services plus : a 2 m2 cupboard, a podium, refrigerator and coffee machine. • ECO stand (space only) include only the stand site. (NB : no partitioning). Optional floor available. • EXHIBITION CATALOGUE : Participation in the Exhibition entitles the exhibitor to a free entry in the catalogue.

10 • ADDITIONAL SERVICES AND THE EXHIBITOR'S MANUAL • ADDITIONAL SERVICES : electrical connections, invitation cards, telephone, catalogue publicity, additional insurance, furniture, flowers, etc.., may be ordered through the Exhibitor's Manual. It contains all the information enabling you to organize your company's participation at INTERSUC in the best possible way. The Exhibitor's Manual will be sent to you at the time of your registration, after receipt of the first instalment.

11 • COMPULSORY MINIMUM INSURANCE & ADDITIONAL INSURANCE In order to guarantee cover for exhibitors, the organizers are obliged to provide comprehensive cover for the items displayed and/or installed for an insured sum of 1,524 ¤ (breakage and audiovisual equipment excluded), on a first loss basis with a waiver of the condition of average. This compulsory insurance is taken out at the expense of and on behalf of each exhibitor through the Organizing Committee, the organizers accepting no liability under any circumstances, especially in respect of under-declaration of value by the exhibitors. The insurance premium is added to the stand rental fee of occupation. Excess applied in case of theft - 10 % of the amount claimed with a 152,40 ¤ maximum . Exhibitors are obliged to acquaint themselves with the cover details and the insurance policy which is printed in full in the Exhibitor's Manual. Exhibitors will have the option of taking out additional insurance to meet their own needs (insured sums over 1,524 ¤, breakage cover , cover for audiovisual equipment, etc..), shown in the same publication. All additional services (electricity, telephone, parking, etc..) can be ordered using the appropriate forms in the Exhibitor's Manual which will be sent out in due course.
